Terms and Conditions

These terms and conditions govern your use of the entire AIdesk platform. By using the platform or registering an account, you acknowledge your agreement to the following, and if you are registering on behalf of a business you confirm you have the authority to do so.
01Acceptance of terms
Using the platform, whether through the dashboard or by connecting any channel, constitutes explicit acceptance of these terms. If you are creating the account on behalf of a company or business, you confirm you have full authority to bind that entity to these terms.
02Description of service
AIdesk provides a multi-tenant platform combining an AI-powered chatbot across WhatsApp, Instagram, Telegram and a website widget, an analytics dashboard aggregating connected ad platform performance, and additional features such as a knowledge base, competitor analysis and a content factory, according to the plan agreed with each tenant.
03Account registration and responsibility
You are responsible for providing accurate information at registration, for keeping your login credentials confidential, and for all activity that occurs under your account, whether or not it was carried out with your knowledge, if it results from failing to safeguard your credentials.
04Tenant obligations as data controller
As the tenant, you are responsible for ensuring you have a sufficient legal basis and appropriate consent or notice from your own end-customers before activating the bot to communicate with them through your channels, and for complying with any data protection laws applicable to your business.
05Acceptable use policy
You agree not to use the platform for any unlawful purpose, not to send abusive, misleading, or unsolicited (spam) content through connected channels, not to attempt to reverse engineer the platform or overload its APIs, and not to use the bot to generate harmful or deceptive content. You also agree to comply with the policies of each channel you connect, such as the WhatsApp Business API, Meta and Telegram policies, since violating them may get that channel suspended by its own provider independent of any action by AIdesk.
06Subscription and billing
AIdesk does not maintain a fixed public price list. Your plan and price are set to the size of your business and channels through a direct conversation on WhatsApp, and the final agreement is documented at contracting. Invoices are issued per the agreed billing cycle, and late payment may result in temporary service suspension until outstanding amounts are settled.
07Intellectual property
AIdesk owns all rights related to the platform, its software, branding and design. You retain ownership of your own content (your brand identity, products, and knowledge base), and grant AIdesk a limited license to use that content solely as needed to operate the service on your behalf.
08Customer data ownership and portability
Your data (conversations, knowledge base, and analytics data) remains entirely yours, and you may request its export or deletion at any time, subject to any legal or security retention obligations described in the Privacy Policy.
09Service availability disclaimer
We work to provide as reliable a service as reasonably possible. The platform is provided on an "as is" and "as available" basis, without guaranteeing it will be entirely free of interruption or faults at all times. Some scheduled maintenance may be subject to prior notice where feasible.
10Third-party integrations disclaimer
Some platform features depend on external APIs (such as WhatsApp, Instagram, Telegram, Google, Meta, TikTok, Snapchat, and the AI model provider). AIdesk is not responsible for any outage or policy or interface change on those platforms outside its control.
11Limitation of liability
To the maximum extent permitted by applicable law, AIdesk total liability to you will not exceed the fees you paid in the twelve months preceding the incident giving rise to the claim, and AIdesk will not be liable for any indirect, consequential damages, or loss of profit.
12Indemnification
You agree to indemnify AIdesk against any claim arising from your misuse of the platform or from unlawful content you sent to your end-customers through it. AIdesk in turn commits to defending its obligations related to its own intellectual property in the core platform.
13Termination
You may terminate your subscription at any time per the notice period agreed at contracting. AIdesk may terminate or suspend your account for breach of these terms, late payment, or abuse. Upon termination, you are given a defined window to export your data before final deletion.
14Suspension for abuse
AIdesk may immediately suspend account access, without prior notice, where there is an indication of a security threat, unlawful use, or a clear violation of a connected channel policy, pending investigation.
15Warranty disclaimer
Except as expressly stated in these terms, the platform is provided without any other implied warranties, including without limitation warranties of fitness for a particular purpose.
16Governing law and dispute resolution
These terms are governed by and construed in accordance with the laws of Saudi Arabia. Should any dispute arise, both parties will first seek to resolve it amicably through direct negotiation, and failing that, the dispute will be referred to the agreed competent court or arbitration body.
17Modification of terms
AIdesk may update these terms from time to time, and account admins will be notified of material changes. Continued use of the platform after an update takes effect constitutes implicit acceptance of it.
18Severability and entire agreement
If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full effect. These terms, together with any written contractual agreement between you and AIdesk, constitute the entire agreement between you regarding use of the platform.
